Terms and Conditions of Service

1. Acceptance and Scope

These Terms and Conditions govern your access to and use of JSONClip websites, APIs, editor applications, automation flows, and related services (collectively, the Services). By creating an account, obtaining an API key, or using any Service, you agree to these Terms.

If you use the Services on behalf of a company or another legal entity, you represent that you have authority to bind that entity.

2. Eligibility and Account Responsibility

You must provide accurate registration information and keep it up to date. You are responsible for all activity performed through your account, API keys, and access credentials.

  • Keep your credentials confidential and do not share them publicly.
  • Notify us immediately if you suspect unauthorized access.
  • You are responsible for actions performed with your credentials, whether authorized by you or not.

3. API and Service License

Subject to these Terms, JSONClip grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access the Services solely to build, test, and operate your own lawful integrations and workflows.

4. Usage Restrictions

You must not misuse the Services or attempt to bypass technical limits, security controls, billing controls, or access restrictions.

  • No reverse engineering, unauthorized scraping, fraud, malware, abuse, or illegal use.
  • No use that degrades platform stability, causes excessive load, or harms other users.
  • No use that violates intellectual property rights, privacy rights, or applicable law.
  • No resale or sublicensing of the Services unless explicitly approved in writing.

5. User Content and Inputs

You are responsible for prompts, scripts, assets, subtitles, metadata, and any other content you submit, upload, or generate using the Services (User Content). You represent that you have all rights and permissions necessary for such use.

You remain responsible for legal compliance of your User Content, including copyright, trademark, privacy, publicity rights, and any required licenses.

6. Third-Party Providers

JSONClip may use third-party providers for media generation, speech synthesis, storage, payments, analytics, and infrastructure. Third-party services may have independent terms, pricing, quotas, and uptime characteristics.

We are not responsible for outages, delays, policy changes, or pricing changes introduced by third-party providers.

7. Credits, Fees, and Billing

Paid features may require credits, subscriptions, or one-time packages. Usage-based deductions may occur per operation, including generation and render operations.

Unless explicitly stated otherwise, purchases are non-refundable and non-transferable.

  • You are responsible for taxes, duties, and fees required by law.
  • We may update prices or credit policies prospectively.
  • If payment fails, we may suspend paid features until payment is resolved.

8. Service Availability and Changes

We may modify, deprecate, suspend, or discontinue features, endpoints, plans, or integrations at any time, including for security, legal, abuse prevention, or operational reasons.

We do not guarantee uninterrupted availability, specific latency, or error-free operation.

9. Intellectual Property

JSONClip and its licensors retain all rights, title, and interest in the Services, software, documentation, branding, and platform materials.

Except for rights expressly granted in these Terms, no license or ownership right is transferred to you.

10. Confidentiality

Any non-public technical, business, or security information disclosed by JSONClip is confidential. You must protect it with reasonable care and use it only for permitted use of the Services.

11. Security and Compliance

You must implement reasonable security controls in your applications and workflows, including secure credential handling, access controls, and abuse prevention.

You must comply with applicable laws and regulations in all jurisdictions where you operate.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JSONCLIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND ERROR-FREE PERFORMANCE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JSONCLIP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

IF SOMETHING GOES WRONG, YOUR EXCLUSIVE REMEDY IS TO STOP USING THE SERVICES. JSONCLIP'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO JSONCLIP IN THE ONE (1) MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless JSONClip and its affiliates, officers, directors, employees, and contractors from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your integrations, or your violation of these Terms.

15. Suspension and Termination

We may suspend or terminate access immediately for security risks, abuse, legal requests, non-payment, or breach of these Terms. You may stop using the Services at any time.

Sections that by nature should survive termination (including payment obligations, disclaimers, liability limitations, indemnity, and dispute terms) will survive.

16. Governing Law and Miscellaneous

These Terms are governed by applicable law of the jurisdiction where the JSONClip contracting entity is established, unless mandatory law requires otherwise.

If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver.
